Partner Terms (B2B)

Draft – pending solicitor review. Not final legal text.

Status: Draft for review. Not final legal advice. A solicitor should approve before live B2B billing.

Effective: 2026-10-09 · Version: draft-1

1. Operator

The anyDance platform is operated by AnyDance, a sole trader business in the United Kingdom (the "Operator"). Legal identity details (registered name and address) will be completed before live B2B billing; they are not published in this draft.

  • Trading name: AnyDance / anyDance
  • Address: [ADDRESS TO FOLLOW]
  • Email: privacy@anydance.uk
  • Website: https://anydance.uk

2. Definitions

  • Partner: a dance school, studio, or similar business that uses the Platform under these Terms.
  • Platform: the anyDance software and websites (including marketplace, school admin, and tenant sites).
  • End User: a student, parent, or guest who books or buys through the Platform.
  • Guest account: a limited profile created by a Partner for someone who has not finished registration.

3. Relationship of the parties

These Terms govern the Partner–Operator relationship for use of the Platform.

When an End User books a class, buys a pass, or pays a Partner through the Platform, the contract for the dance or leisure service is only between the End User and that Partner. The Operator does not teach, host venues, or stand in for the Partner's obligations to End Users.

The Operator provides software, booking records, and (where activated) payment facilitation via third-party processors. The Operator is not responsible for the Partner's own terms, teaching quality, cancellations, or injuries at classes.

4. Registration and account

Partners must provide accurate registration and billing details and keep login credentials secure. The Operator may suspend or terminate access for false data, illegal content, security abuse, or material breach of these Terms.

5. Fees

Platform use may require a subscription and/or platform or transaction fees as published on the pricing page or in a written quote. Prices are net; VAT treatment depends on the Partner's country and status.

Where the Operator is established in the United Kingdom and the Partner is in the EU (including Hungary), invoices are typically issued without UK VAT. The Partner may need to account for local VAT under the reverse-charge rules. VAT-registered Partners can often recover that VAT; small or VAT-exempt Partners may treat it as a cost. Final tax treatment is the Partner's responsibility with their accountant.

If online card payments are activated (for example Stripe Connect), transaction fees may apply when those features are used. Fees for payments taken outside the Platform (cash, own terminal, bank transfer recorded only as admin) are set out in the commercial offer; the Operator may restrict features or terminate for systematic fee evasion where the offer so provides.

Late payment may lead to service limits. Where End Users already hold bookings, the Operator will try not to block those bookings solely because of Partner late payment, unless legally required or security requires it.

6. Invoices to End Users

Invoices or receipts for classes and passes are issued by the Partner, not by the Operator. Integrations with local invoicing tools (for example Számlázz.hu or Billingo) are the Partner's responsibility. The Operator does not issue student invoices on the Partner's behalf if those integrations fail.

7. Payments

Card data is collected and processed by the payment provider (for example Stripe), not stored by the Operator. The Operator does not guarantee uninterrupted availability of third-party payment or invoicing services.

8. Cancellations and refunds

Class cancellation, modification, and refund rules are set by the Partner for End Users. The Operator executes refunds only on Partner instruction or Partner-configured automation. Transaction or platform fees already charged to the Partner are not refundable unless the Operator agrees in writing.

9. Liability

The Operator aims for reliable service but does not guarantee 100% uptime. Planned maintenance and emergency security work may interrupt service.

To the extent permitted by law, the Operator is not liable for losses caused by internet outages, third-party providers, cyber attacks beyond reasonable control, force majeure, or Partner misuse. The Operator excludes liability for lost profits and indirect or consequential loss.

Except for fraud, wilful misconduct, or liability that cannot be limited by law, the Operator's total liability to a Partner for direct losses in connection with the Platform in any twelve-month period is limited to the subscription fees actually paid by that Partner to the Operator in that period.

The Partner remains responsible for content they upload, for End User conduct at their venues, and for their own tax and invoicing duties.

10. Intellectual property

The Platform software, branding, and documentation remain the Operator's property. Partners receive a non-exclusive, non-transferable right to use the Platform for their own business during the subscription. Reverse engineering, scraping, resale, or security probing without written consent is prohibited.

Partner-uploaded content (logos, class copy, photos) remains the Partner's. The Partner grants the Operator a licence to host and display that content to provide the service. The Partner may allow the Operator to use the Partner name and logo as a reference unless the Partner opts out in writing.

11. Support

Support is primarily by email (privacy@anydance.uk or the address given in the admin UI), on business days. The Operator targets high availability but does not promise a specific SLA in this draft; commercial SLAs may be agreed separately.

12. Data processing

For End User data processed on behalf of the Partner (rosters, bookings, passes), the Partner is typically the controller and the Operator the processor. A data processing schedule may be attached or published separately. The Operator may use sub-processors (hosting, database, email, payments) under GDPR Article 28-style terms.

For Partner account and billing data, and for marketplace accounts the Operator runs itself, the Operator is a controller. See the Privacy Notice.

13. Guest accounts and under-16s

Partners may create guest accounts only with a lawful basis, from their own customer relationships (not purchased lists), and must inform those individuals. For under-16s, Partners should record a parent or guardian contact, not the child's email alone, unless local law allows otherwise. The Operator may suspend guest-invite features if these warranties are breached.

14. Term and termination

Subscriptions renew as stated at signup or in the quote. Either party may terminate as set out there. The Operator may terminate immediately for serious breach, non-payment after notice, security risk, or conduct that seriously harms the Platform's reputation. After termination, End User personal data is deleted or returned as described in the Privacy Notice and processing terms, subject to legal retention.

15. Changes

The Operator may update these Terms with prior notice by email or in-product notice. Continued use after the effective date constitutes acceptance, except where mandatory law requires a different process.

16. Governing law

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory protections that apply to a Partner in their country of establishment.
